Terms of Service
Last updated: August 29, 2026
These Terms of Service ("Terms") govern your use of the Octogee platform at octogee.com (the "Service"), operated by Squarepoint Consulting LLC, doing business as ("d/b/a") Octogee ("Company," "we," "us," "our"), an Oregon limited liability company. By clicking "I Agree," checking the acceptance box, completing account registration, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
Who you are contracting with. The Service may be provided to you either (a) directly by Octogee, or (b) through an independent Octogee Studio — a regional operator licensed by Octogee to deliver the platform as a managed service under an "Octogee Studio" brand (for example, "Octogee Studio High Desert" or "Octogee Studio PDX"). If you are onboarded through an Octogee Studio, that Studio is your service provider and counterparty for the operation of the Service and any business advisory it provides, while these Terms govern your use of the underlying Octogee platform that Octogee licenses and operates. Octogee Studios are independently owned and operated — see Section 1B.
1. The Service
Octogee is an AI-powered business platform that pairs you with AI agents ("AI Agents" or "Crew") and the tools to organize, plan, and run your business. The Service may include:
- AI-powered conversational agents and an AI Coach
- Customer and contact management (CRM), leads, and sales pipeline
- Invoicing, bookkeeping, and accounting tools
- Scheduling, project, and task management
- Workspace collaboration, chat, and communication
- Website build, hosting, and deployment
- Workflow automation and third-party integrations
- A web dashboard for account and workspace management
Features vary by plan and tier, and some capabilities are offered as they become available.
1A. Gateway Placement
Octogee operates every customer gateway. A workspace may use one of two runtime placements:
- Barn: the shared customer gateway, with logical workspace separation and Octogee-managed identity, authorization, tools, providers, and data flows.
- Builder gateway: a disposable, single-Builder gateway available with eligible paid access. It provides stronger runtime isolation and lets the Builder manage OpenClaw configuration, native model-subscription tooling, and deliberately enabled custom capabilities.
Octogee manages the Barn's runtime configuration, providers, and tools. On a Builder gateway, you are responsible for the additional configuration, tools, providers, integrations, and resulting data flows that you choose. Octogee continues to enforce tenant-bound identity, authorization, and platform broker boundaries described in our Privacy Policy.
1B. Octogee Studios (Independent Operators)
Octogee licenses independent operators to deliver the full Octogee platform — including the gateway fleet and orchestration, the AI agent harness, self-hosted Mattermost chat, transactional email, and Google Cloud infrastructure — as a managed service under a regional "Octogee Studio" brand. If you are onboarded through an Octogee Studio, the following apply:
- Independence. Each Octogee Studio is an independent business, independently owned and operated, licensed by Squarepoint Consulting LLC (d/b/a Octogee). A Studio is not Octogee's agent, employee, partner, or joint venturer, and Octogee is not a party to the service or advisory relationship between you and your Studio.
- Your Studio's responsibility. Your Octogee Studio is your service provider and counterparty: it is responsible for the services, business advisory, onboarding, support, and any commitments it makes to you, and for its own compliance with applicable law. Those services may be governed by a separate engagement agreement between you and the Studio.
- Octogee's responsibility. Octogee provisions, secures, hosts, and maintains the licensed platform and infrastructure, and processes platform data as described in our Privacy Policy. Octogee is not responsible for, and disclaims all liability for, the acts, omissions, advice, or service quality of any Octogee Studio.
- Brand use. "Octogee Studio [Region]" names are used under license; the OCTOGEE marks remain the property of Squarepoint Consulting LLC (see Section 12).
1C. Early Access
Octogee is early-access software — in its friends-and-family and early-adopter launch phase, built and operated by a very small team. We will do our best for you, and we take that seriously. But early access is a two-way agreement: you get in first, and in exchange you accept the rough edges. By signing up during early access, you acknowledge and agree that:
- Things will break. Features may be incomplete, may change materially, may be interrupted, or may be discontinued at any time without notice, and despite our efforts data loss is possible.
- Do not rely on the Service for anything you cannot afford to lose or do without. During early access, do not use Octogee as your only system of record or as a critical dependency of your business. Keep independent backups of anything important.
- Support and availability are best-effort. There are no guaranteed support response times and no uptime commitments beyond the limited credits described in Section 8.
- Your decisions remain your own. AI Agents can be wrong (Section 7). Decisions you make while using the Service — including decisions informed by AI output — are your sole responsibility, and we are not liable for their outcomes.
- The disclaimers are part of the deal. The disclaimer of warranties (Section 9) and limitation of liability (Section 10) apply with full force during early access and form a material basis of the bargain: early-access pricing and access reflect that the Service is provided without such assurances.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you use the Service on behalf of a business, you represent that you have authority to bind that entity to these Terms.
3. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately at support@octogee.com if you suspect unauthorized access.
- You represent and warrant that you have all necessary rights, consents, and authority to submit any data you provide to the Service, including any personal information of third parties (such as your customers, leads, or contacts).
4. Subscriptions and Billing
4.1 Signup Offer
We may provide a time-limited promotional Signup Offer to an eligible new account. The offer's duration, included Personal and Builder access, eligibility, expiration, and any other material conditions are the details shown to you at signup. Those details are incorporated into these Terms and are recorded with the offer granted to your account. Unless the signup disclosure expressly says otherwise, no payment card is required, the offer does not automatically become a paid subscription, and an account that does not subscribe moves to Free when the offer ends.
4.1A Auto-Renewal Disclosure
IMPORTANT — FREE TRIALS, PAID ACCESS, AND AUTOMATIC RENEWAL: An account's first self-serve Builder gateway subscription—Hobby, Pro, or Team—includes one seven-day free trial on the selected tier. The checkout disclosure identifies the plan, payment-card requirement, post-trial price, billing interval, and date paid billing begins. You pay $0 for that trial if you cancel before it ends. Unless you cancel before the disclosed trial end, Stripe automatically charges the payment method you provided, paid access begins, and the subscription renews at the selected monthly or annual interval until canceled.
For a paid plan that does not expressly include a free trial, paid access starts immediately when you complete checkout. Completing a paid-plan checkout, including a card-backed trial checkout, replaces any remaining Signup Offer. Changing plans during a trial may end the trial and begin paid billing immediately, as shown before you confirm the change. You may cancel at any time through your account billing settings or by contacting support@octogee.com.
4.2 Subscription Plans
Paid plans are billed monthly or annually, per the billing interval you select at checkout. The checkout disclosure identifies the plan, included access, price, and billing interval you are purchasing. Current public pricing is available at octogee.com/pricing. We reserve the right to change pricing with 30 days' notice to existing subscribers.
4.3 Usage, Models, and Allowances
The Service may apply usage, storage, rate, compute, project, or other allowances. The product identifies the allowances that currently apply to your account. Free and promotional access are intended to remain useful, but they do not promise a particular model or provider, token quantity, storage quantity, rate limit, feature set, or refill schedule. We may adjust those Free or promotional details prospectively to maintain service quality, safety, and affordability.
When an allowance is reached, we may pause or limit the affected capability until it refills, you reduce usage, connect an eligible third-party subscription, purchase prepaid credits, or choose a paid plan. There is no automatic overage, automatic paid conversion, or usage charge unless you affirmatively authorize the applicable purchase or an optional automatic credit top-up.
4.4 Cancellation
- You may cancel your subscription at any time through the billing portal or by contacting support@octogee.com.
- If you cancel a free trial before its disclosed end, you will not be charged for the post-trial subscription. Trial access may remain available until that end date.
- Cancellation takes effect at the end of your current billing period. You retain access until then.
- When paid or promotional access ends, your account moves to Free. Your workspace and workspace-level channels remain available while your account remains open, subject to the current Free allowances. If you reach the current workspace-storage allowance, new uploads may pause until you export or remove content or choose paid access.
- Your projects enter a read-only archive for 90 days. We manage access by applying the supported repository, channel, membership, and credential controls enforced by Gitea and Mattermost. New project work, builds, deployments, project-channel posts, and project file changes are unavailable while archived, and project Agents are not materialized or running.
- During that 90-day window, your retained workspace Coach may use the archived project repository and channel history to discuss what was built, help you understand prior decisions, and help you export content. It may not continue building or modify the archived project.
- If you restore eligible paid access during the 90-day window, we will restore native access to the retained project. We will provide reasonable warning before the deadline. After 90 days, we may permanently delete the project from the Service, including its project repositories, project-channel bindings and access, project files, deployments, gateway checkout, and subordinate records. The project and its history can no longer be retrieved or restored through the Service; provider-native deletion state and bounded recovery copies expire as described in the Privacy Policy.
- Moving to Free is not an explicit account-deletion request. If you request account deletion, the separate suspension and erasure lifecycle in the Privacy Policy applies.
4.5 Billing Disputes
If you believe you have been incorrectly charged, you must contact us at support@octogee.com within 60 days of the charge. We will investigate and resolve billing disputes in good faith. You agree to attempt to resolve billing disputes directly with us before initiating a chargeback or payment dispute with your bank or card issuer. Chargebacks filed without good-faith prior communication may result in account suspension.
4.6 Refunds
We do not offer refunds for partial billing periods. If you experience a significant service outage (see Section 8), you may request a pro-rated credit for the affected period.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Generate, store, or distribute illegal, harmful, abusive, defamatory, or obscene content
- Attempt to circumvent usage limits, authentication, or security measures
- Use automated systems to access the Service in a manner that exceeds reasonable use
- Interfere with or disrupt the Service or its infrastructure
- Impersonate any person or entity
- Use the AI agents in a way that violates an applicable AI provider's acceptable-use terms disclosed for the capability you select
- Rely on AI-generated content as professional advice (legal, financial, medical, tax, or otherwise) without independent verification by a qualified professional
We reserve the right to suspend or terminate your account for violations of this section.
6. Your Data
6.0 Prohibited Data
The Service is not designed for processing data subject to heightened regulatory requirements. You agree not to submit data that is subject to the Health Insurance Portability and Accountability Act (HIPAA), the Gramm-Leach-Bliley Act (GLBA), the Family Educational Rights and Privacy Act (FERPA), the EU General Data Protection Regulation (GDPR), Payment Card Industry Data Security Standards (PCI-DSS), or similar regulatory frameworks. If you require processing of such data, contact us to discuss a separate data processing agreement.
6.1 Ownership
You own your data. All business data you input into Octogee (customers, invoices, tasks, leads, conversation content, and workspace files) remains your property. We claim no ownership rights over your content.
6.2 License to Us
You grant us a limited, non-exclusive license to use, process, store, and transmit your data solely to provide the Service and to maintain, debug, and improve the Service's technical infrastructure and performance. We will not use your data to train machine learning models or to develop products for other customers. This includes sending your data to the third-party AI provider used for your request as described in our Privacy Policy.
6.3 Data Portability
You may request an export of your data at any time by contacting support@octogee.com. We will provide available data in a machine-readable format appropriate to the data type within 30 business days. Export any project content you want to keep before its Free archive deadline. AI model weights, platform system prompts, and proprietary platform configuration logic are not included in data exports.
6.4 Data Security
We implement industry-standard security measures. However, you acknowledge that no system is perfectly secure. You are responsible for maintaining the confidentiality of sensitive business data and for evaluating whether the Service meets your security requirements.
6.5 Credentials and Connections You Choose to Authorize
Octogee never requires you to connect optional third-party services. Some supported capabilities work only if you authorize them through Octogee's connection settings — for example, Google Workspace, GitHub, or a supported AI model subscription or API key. A connected GitHub repository may be read or changed by your workspace and AI Agents only to the extent allowed by the repository access and credential permissions you grant. Whether to authorize a connection is always your choice. Do not paste passwords, private keys, or access tokens into an agent conversation.
Credential sharing is a mutual responsibility:
- Our part. We take the security of stored secrets seriously and implement safeguards designed to protect them, including encryption, tenant-bound authorization, and scoped server-side credential brokers, as described in our Privacy Policy. As with all data (Section 6.4), no system is perfectly secure.
- Your part. Authorize only connections you are comfortable entrusting to your workspace. Prefer scoped, least-privilege, revocable credentials over master passwords or root keys. Rotate or revoke a credential promptly if you suspect compromise.
- Your accounts, your usage. You are responsible for all activity, usage, and charges on your third-party accounts arising from credentials you provide, including actions your AI Agents take with them at your direction.
To the maximum extent permitted by law, we are not liable for losses arising from credentials or secrets you choose to share with your workspace or AI Agents (see Section 10).
7. AI Agents — Important Limitations
Please read this section carefully.
No Fiduciary or Agency Relationship. The AI Agents are software tools, not your employees, agents, contractors, or fiduciaries. No fiduciary duty, agency relationship, joint venture, or partnership is created by your use of the Service. You remain solely responsible for all business decisions and actions.
- AI agents are powered by third-party large language models. They can make mistakes, produce inaccurate information, or behave unexpectedly.
- AI-generated content (including business recommendations, financial summaries, marketing copy, and operational suggestions) is informational only and does not constitute professional advice.
- You are solely responsible for reviewing, verifying, and approving any actions taken by AI agents on your behalf, including but not limited to: communications sent, data modifications, financial calculations, and business recommendations.
- AI agents may occasionally be unavailable due to maintenance, provider outages, or usage limits. We do not guarantee uninterrupted availability.
- We are not responsible for business decisions made based on AI output.
8. Service Availability and Downtime
- We strive to maintain high availability but do not guarantee any specific uptime percentage.
- The Service may be temporarily unavailable due to maintenance, updates, third-party provider outages, or circumstances beyond our control.
- We will make reasonable efforts to notify you of planned maintenance in advance.
- We are not liable for any losses, damages, or missed opportunities resulting from Service downtime or unavailability.
- If a continuous outage exceeds 72 hours, you may request a pro-rated credit for the affected period at our reasonable discretion by contacting support@octogee.com.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, secure, or error-free
- AI agent outputs will be accurate, complete, or reliable
- Any errors in the Service will be corrected
- The Service will result in any particular business outcomes
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SQUAREPOINT CONSULTING LLC, ITS MEMBERS, MANAGERS, OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, business opportunities, or goodwill
- Any damages arising from reliance on AI-generated content
- Any damages resulting from Service downtime or unavailability
- Any damages resulting from unauthorized access to your account
- Any damages arising from credentials or secrets you choose to share with your workspace or AI Agents (Section 6.5)
- Any damages arising from optional third-party services or connections you authorize through the Service
- Any acts, omissions, advice, or services of an independent Octogee Studio or other independent licensed operator
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Squarepoint Consulting LLC and its members, managers, owners, directors, officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content or data you submit through the Service
- Any optional third-party services or connections you authorize, and the data you direct through them
12. Intellectual Property
- The Octogee name, logo, and brand elements are the property of Squarepoint Consulting LLC.
- Octogee™ and the Octogee logo are trademarks of Squarepoint Consulting LLC. "Octogee" is a registered assumed business name of Squarepoint Consulting LLC in the State of Oregon.
- The Service software, design, and documentation are protected by copyright and other intellectual property laws.
- Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
13. Third-Party Services
The Service integrates with service providers for capabilities such as AI model processing, payments, cloud infrastructure, analytics, transactional communications, and supported user-authorized connections. The particular provider used for a capability may change. Your use of provider-facing capabilities is subject to applicable provider terms disclosed with that capability. We are not responsible for the availability, accuracy, or practices of third-party services.
14. Termination
- By You: You may cancel your subscription and close your account at any time.
- By Us: We may suspend or terminate your access if you violate these Terms, engage in abusive behavior, or fail to pay for the Service. We will provide reasonable notice when possible.
- Effect: Upon termination, your right to use the Service ceases immediately. Sections 1A (gateway placement), 1B (Octogee Studios), 1C (early access), 5 (acceptable use), 6.1 (data ownership), 6.5 (credentials and connections), 7 (AI limitations), 9-11 (disclaimers, liability, indemnification), 12 (intellectual property), 15-16 (governing law, dispute resolution), and 18 (general provisions) survive termination.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Deschutes County, Oregon.
16. Dispute Resolution
16.1 Informal Resolution
Before filing any legal claim or initiating arbitration, you agree to attempt to resolve the dispute informally by contacting us at legal@octogee.com. We will attempt to resolve the dispute within 30 days. If informal resolution fails, either party may pursue legal remedies as described in Section 15.
16.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved through informal dispute resolution (Section 16.1) shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Deschutes County, Oregon (or remotely, at the claimant's election). The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
The arbitrator may award the same relief that a court could award, including injunctive or declaratory relief, but only to the extent required to satisfy the individual claim. Each party shall bear its own costs, except that we will pay AAA filing fees for claims under $10,000 if you cannot afford them.
16.3 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION AGAINST SQUAREPOINT CONSULTING LLC. IF THIS WAIVER IS FOUND UNENFORCEABLE, THE ENTIRE ARBITRATION PROVISION (SECTION 16.2) SHALL BE VOID.
16.4 Small Claims Court
Notwithstanding the arbitration provision above, either party may bring an individual action in small claims court in Deschutes County, Oregon, if the claim qualifies under applicable small claims court rules.
16.5 Opt-Out
You may opt out of the arbitration and class action waiver provisions by sending written notice to legal@octogee.com within 30 days of creating your account. If you opt out, disputes will be resolved in the state or federal courts of Deschutes County, Oregon as described in Section 15.
17. Modifications to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree, you must cancel your subscription before the changes take effect.
18. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Squarepoint Consulting LLC regarding your use of the Octogee platform. If you are served by an independent Octogee Studio, your service relationship with that Studio may be governed by a separate engagement agreement between you and the Studio (see Section 1B). In the event of a conflict between these Terms and the Privacy Policy, these Terms shall control with respect to your use of the platform, and the Privacy Policy shall control with respect to the collection and use of your personal information.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights freely.
- Electronic Communications: You consent to receive communications from us electronically, including via email and through the Service. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, government actions, third-party service provider outages, internet failures, power outages, or cyberattacks.
